Tian Chang Group Holdings Ltd. (TIAN CHANG GP) has issued a notice convening its annual general meeting (AGM) for 11:15 a.m. on 29 May 2026 at Room D, The LU+, 3/F, Lu Plaza, Kwun Tong, Hong Kong.

Key items scheduled for shareholder approval are as follows:

1. Financial Statements • Receive and consider the audited consolidated financial statements for the year ended 31 December 2025, together with directors’ and auditor’s reports.

2. Board Composition and Remuneration • Re-elect Mr. Chan Tsan Lam as Executive Director. • Re-elect Mr. Hung Chun Leung as Independent Non-executive Director. • Authorise the board to determine directors’ remuneration.

3. Auditor Appointment • Re-appoint Forvis Mazars CPA Limited as external auditor and authorise the board to set its remuneration.

4. Share Capital Mandates • Authorise the board to allot, issue or deal with shares up to 20% of the company’s issued share capital, excluding treasury shares, during the mandate period. • Approve a share-repurchase mandate allowing the company to buy back up to 10% of its issued share capital, excluding treasury shares. • Extend the 20% issuance mandate by the aggregate nominal amount of shares repurchased under the 10% mandate.

Shareholder Logistics • Register of members will close from 26 May 2026 to 29 May 2026 (both days inclusive). Share transfers for AGM eligibility must be lodged with Tricor Investor Services Limited by 4:30 p.m. on 22 May 2026. • Proxy forms must be deposited with Tricor by 11:15 a.m. on 27 May 2026. • Shareholders may submit questions in advance via email or hotline no later than 11:15 a.m. on 27 May 2026. • Contingency: If Typhoon Signal No. 8 or above or a “black” rainstorm warning is in force after 8:00 a.m. on 29 May 2026, the AGM will be postponed; a new schedule will be announced on HKEXnews and the company website.
