2026年9月11日，传承教育集团有限公司（08195）发布自愿性公告称，董事会已决议拟在公开市场实施股份回购。回购将于本公告日起至公司于2027年举行的股东周年大会结束前进行，总金额上限为3,000万港元。
根据公司于2025年9月29日股东周年大会获授的一般性回购授权，以及拟于2026年9月29日股东周年大会续予授出的回购授权，公司可回购股份总数不超过授权通过当日已发行股份总数（不含库藏股份）的10%。
回购所需资金将由集团合法可用于股份回购用途的内部资源拨付。已购回股份将视乎公司资本管理需要或予以注销，或作为库藏股份持有。
公司表示，董事会将依照已通过或待通过的回购授权、香港联合交易所有限公司GEM证券上市规则、公司章程及开曼群岛适用法律行使回购权。如回购导致任何股东或一致行动股东需要根据香港公司收购及合并守则提出强制性全面要约，或导致公众持股量低于25%，董事会无意行使回购授权。
公司强调，股份回购的实施将取决于市场状况，并由董事会酌情决定，且不保证具体的回购时间、数量或价格。公司提醒股东及潜在投资者在买卖公司证券时保持审慎。
