On November 18, New World Development Company Limited (NEW WORLD DEV, 00017.HK) issued an announcement regarding preliminary early tender results and the extension of early exchange consideration by amending the base exchange consideration.

**Preliminary Early Tender Results for Existing Perpetual Securities Exchange Offer** (a) As of 5:00 p.m. Central European Time on November 17, 2025 (the "Euroclear/Clearstream Early Tender Deadline"), the aggregate principal amount of existing perpetual securities validly tendered for exchange under the early exchange consideration is as shown in the table below (collectively, the "Early Tendered Existing Perpetual Securities").

(b) PerpCo is currently verifying additional instructions received after the Euroclear/Clearstream Early Tender Deadline but on or before the early tender date. Upon completion of the verification process, PerpCo intends to announce the final early tender results and acceptance of any validly tendered existing perpetual securities on or around November 18, 2025 ("Early Tender Results Announcement").

(c) Following the announcement of the final early tender results, PerpCo expects to accept all Early Tendered Existing Perpetual Securities in full without proration, subject to the terms of the exchange offer memorandum.

(d) For any existing perpetual securities validly tendered and accepted on or before the early tender date, the early settlement date is expected to be November 20, 2025.

(e) Subject to the Early Tender Results Announcement and fulfillment or waiver of the conditions of the exchange offer, PerpCo anticipates that the minimum participation condition for existing perpetual securities will be satisfied.

**Preliminary Early Tender Results for Existing Notes Exchange Offer** (a) As of the Euroclear/Clearstream Early Tender Deadline, the aggregate principal amount of existing notes validly tendered for exchange under the early exchange consideration is as shown in the table below (collectively, the "Early Tendered Existing Notes").

(b) BondCo is verifying additional instructions received after the Euroclear/Clearstream Early Tender Deadline but on or before the early tender date. Upon completion, BondCo intends to announce the final early tender results and acceptance of any validly tendered existing notes in the Early Tender Results Announcement on or around November 18, 2025.

(c) Following the announcement, BondCo expects to accept all Early Tendered Existing Notes in full without proration, subject to the terms of the exchange offer memorandum.

(d) For any existing notes validly tendered and accepted on or before the early tender date, the early settlement date is expected to be November 20, 2025.

(e) Subject to the Early Tender Results Announcement and fulfillment or waiver of the conditions, BondCo anticipates that the minimum participation condition for existing notes will be satisfied.

**Extension of Early Exchange Consideration via Amendment of Base Exchange Consideration** The new issuer hereby announces that the base exchange consideration for existing perpetual securities and existing notes will be amended to match the respective early exchange consideration amounts.

The exchange offers for existing perpetual securities and existing notes remain ongoing.
