Tycoon Group Holdings Limited will convene an extraordinary general meeting (EGM) at 11:45 a.m. on 11 September 2026 at United Conference Centre, Admiralty, Hong Kong. Shareholders will vote on four ordinary resolutions, each aimed at resetting or approving annual caps for continuing connected transactions across several distribution arrangements.

Resolution 1 seeks approval of revised annual caps for the Ho Chai Kung Distribution Agreement between Ho Chai Kung Medicine Manufactory Limited and Dynasty Garden Limited. The proposed caps will cover the two financial years ending 31 December 2026 and 31 December 2027, plus the three-month period ending 31 March 2028.

Resolution 2 addresses revised caps under the Li Chung Shing Tong (HK) Distribution Agreement between Li Chung Shing Tong (Holdings) Limited and Dynasty Garden Limited over the same two-year and three-month timeframe.

Resolution 3 covers the Li Chung Shing Tong (Singapore) Distribution Agreement between Li Chung Shing Tong (S) Pte Ltd and Tycoon Asia Pacific (Singapore) Pte. Limited, again proposing revised annual caps for the two years to 31 December 2027 and the three months to 31 March 2028.

Resolution 4 seeks ratification of the Foci Distribution Agreement, dated 12 June 2026, between Hong Kong Premier Concentrated Chinese Herbs Ltd. and Fu Qing Chinese Medical Trading Pte. Limited. Shareholders will vote on annual caps covering the six months to 31 December 2026, the two full years to 31 December 2028, and the six months to 30 June 2029.

All resolutions will be decided by poll. For voting eligibility, the share register will close from 8 September 2026 to 11 September 2026 (both dates inclusive), with the last day to lodge share transfers set for 7 September 2026.
