Universal Technologies Holdings Limited announced the appointment of Mr. Chai Chung Wai as an independent non-executive director (INED) with immediate effect from 31 March 2026. Mr. Chai will also chair the Audit Committee and serve on both the Remuneration and Nomination Committees.
Mr. Chai, aged 59, holds master’s degrees in accounting (Jinan University) and business administration (University of Manchester). He is a fellow of the Hong Kong Institute of Certified Public Accountants, The Hong Kong Institute of Directors, the Association of Chartered Certified Accountants and the Institute of Chartered Accountants in England and Wales. His previous roles include financial controller positions at several Hong Kong-listed companies and current INED posts at Sino-Life Group Limited and Shifang Holding Limited.
Under an appointment letter to be executed, Mr. Chai will receive monthly remuneration of HK$15,000 and serve an initial one-year term, subject to renewal and the company’s re-election requirements. He has confirmed compliance with all independence criteria under Rule 3.13 of the Listing Rules and holds no shares or related interests in the company.
The addition of Mr. Chai restores Universal Technologies’ compliance with multiple Listing Rules that had been breached after an INED retirement on 31 December 2025. The company now meets: 1. Rule 3.10(1): at least three INEDs on the Board. 2. Rule 3.10(2): at least one INED possessing accounting or financial expertise. 3. Rule 3.21: a minimum of three Audit Committee members, including an INED with financial qualifications serving as chairman. 4. Rule 3.27A: a Nomination Committee with a majority of INEDs.
Following the appointment, the Board comprises seven directors: three executive directors (Mr. Chen Jinyang, Ms. Zhu Fenglian, Mr. Xuan Zhensheng), one non-executive director (Mr. Chen Lang) and three independent non-executive directors (Mr. Yeung Kin Chung Clifton, Mr. Chao Pao Shu George, Mr. Chai Chung Wai).
