Following further negotiations and discussions, the new subscriber failed to satisfy the preconditions stipulated in the new subscription agreement by December 31, 2025. After considering various factors, including the current market conditions, the Company and the new subscriber have mutually agreed not to proceed with the subscription matter. Taking into account the aforementioned circumstances, even after the deadline for fulfilling the preconditions was extended, the new subscriber was unable to meet its obligations under the new subscription agreement. On December 31, 2025 (after trading hours), the Company terminated the new subscription agreement in accordance with its terms. Following the termination of the said new subscription agreement, all rights and responsibilities of the contracting parties shall cease to be effective, and neither party shall have any claims against the other concerning the new subscription agreement. The Board of Directors believes that the termination of the new subscription agreement will not have any material adverse effect on the Company's existing business, operations, or financial condition.
