中国大冶有色金属(00661)7月20日公告称，公司原定于2026年7月20日或之前向股东寄发有关出售全资附属公司100%股权的通函。鉴于公司需要额外时间编制并落实通函所载若干资料，寄发日期将延至2026年8月10日或之前。
通函内容拟包括：(i) 出售事项的进一步详情；(ii) 独立财务顾问意见函；(iii) 独立董事委员会建议函；(iv) 股东特别大会通告；及 (v) 其他根据上市规则要求披露的资料。
董事会指出，该事项构成公司的非常重大出售事项及关连交易。
截至本公告日期，董事会由五名成员组成，其中执行董事两名：肖述欣先生及李海波先生；独立非执行董事三名：刘芳女士、王岐虹先生及孔华先生。
