CStone Pharma Issues 124.23 Million New Shares in April, Expanding Share Base to 1.60 Billion

CStone Pharmaceuticals (CStone Pharma) reported a net increase of 124.23 million ordinary shares in April 2026, taking total issued share capital to 1.60 billion shares as at 30 April 2026. The enlarged register represents an 8.42% month-on-month expansion from 1.48 billion shares at end-March.

Key drivers of the share issuance:

• Placing/Subscription: 118.00 million new shares were allotted on 22 April 2026 under the June 2025 general mandate at HKD 8.97 per share.

• Employee Incentives: – Exercise of 230,465 options from the Pre-IPO Incentivization Plan and Post-IPO Employee Share Option Plan generated HKD 0.67 million in proceeds. – Issuance of 6.00 million new shares on 23 April 2026 under the Post-IPO RSU Scheme adopted in March 2019 and amended in March 2023.

• No treasury share movements occurred during the month; the company holds zero treasury shares.

Capital structure:

• Authorised share capital remained unchanged at 2.00 billion ordinary shares with a par value of USD 0.0001 each, equivalent to total authorised capital of USD 0.20 million.

• Following the April transactions, the company reconfirmed compliance with the Hong Kong Stock Exchange’s minimum 25% public-float requirement.
