Contel Technology Company Limited (Contel Technology) has appointed Ignite Capital (Asia Pacific) Limited as the Independent Financial Adviser (IFA) to its Independent Board Committee in relation to the takeover offer (the Offer) from Zhuangyan Investment International Limited. Ignite Capital holds licences for Type 1 (dealing in securities) and Type 6 (advising on corporate finance) regulated activities under Hong Kong’s Securities and Futures Ordinance.

The IFA will assess whether the Offer is fair and reasonable and provide recommendations on acceptance. Its advice, together with the Independent Board Committee’s recommendations, will be included in a composite document to be dispatched to shareholders in accordance with the Hong Kong Takeovers Code.

Progress of the Offer remains contingent on the completion of both the subscription and placing transactions. As these conditions may or may not be fulfilled, the Offer itself may ultimately not proceed. Consequently, the board has reiterated that shareholders and potential investors should exercise caution when dealing in Contel Technology shares.

The announcement, authorised by Chairman Lam Keung and approved by the board on 10 July 2026, affirms that all directors accept full responsibility for the accuracy of the disclosed information. Current board composition comprises two executive directors—Lam Keung and Cheng Yu Pik—and three independent non-executive directors—Dan Kun Lei, Raymond; Chan Kwok Kuen Kenneth; and Lai Man Shun.
