Private Equity Consortium 65 Equity and Tower Capital Reportedly Weighing Sale of Boardroom at $1 Billion Valuation

Private equity firms 65 Equity Partners and Tower Capital Asia are exploring the sale of corporate services provider Boardroom Ltd., according to people familiar with the matter, as the company has attracted interest from potential buyers.

The owners of Boardroom have selected Goldman Sachs Group Inc. to assist in preparing the sale of the Singapore-based company. The transaction could value Boardroom at roughly $1 billion, some of the people said.

Boardroom has drawn preliminary interest from global investment firms including Advent International, EQT AB, and TPG Inc., the people said, asking not to be identified as the information is private. Considerations are at an early stage and no final decisions have been made, and the parties could also decide against pursuing a transaction, the people added.

Australian media reported in May that Boardroom's owners were then in talks with multiple banks to assist in preparing the business for sale.

Boardroom provides corporate services including company incorporation, corporate secretarial, accounting, tax, payroll, and share registry services. Its operations span Singapore, Australia, Malaysia, Hong Kong, and mainland China, and it has partnerships across the Asia-Pacific region.

65 Equity Partners and Tower Capital jointly acquired Boardroom in 2022 for approximately S$312 million ($243 million) and delisted it from the Singapore Exchange.

Global private equity firms have been acquiring corporate services companies. In December, Warburg Pincus agreed to invest in Acclime to help drive the Asia-focused company's business development and expansion.
