China Modern Dairy Holdings Ltd. (CMD) and China Shengmu Organic Milk Limited (CSM) jointly announced that CMD has partially released the irrevocable voting proxy previously granted by Start Great Holdings Limited.
CMD determined that the proxy attached to 829.75 million CSM shares (9.90% of CSM’s issued capital) is no longer required for consolidation purposes. Consequently: • Start Great regains voting rights over 14.99% of CSM. • The proxy over 1.26 billion CSM shares (15.00%) remains in force. • CMD directly holds 4.49 billion CSM shares (53.53%) and, together with the remaining proxy shares, can vote 5.74 billion shares, equal to 68.53% of CSM’s total. • CMD and parties acting in concert control voting rights over 7.00 billion shares, or 83.52% of CSM.
Separately, CSM continues to record a Significant Public Float Shortfall under Rule 13.32F of the Hong Kong Listing Rules. If the company fails to restore the minimum public float by 2 February 2028, the Stock Exchange will cancel the listing of CSM shares. Shareholders and potential investors are urged to exercise caution when dealing in CSM shares.
