晶合集成拟增资光罩业务平台 持股比例升至约32.16%

晶合集成（02249）9月30日公告，与安徽晶镁光罩有限公司（下称“目标公司”）及其他投资方签署增资协议。根据协议，晶合集成将以其全资子公司合肥晶为科技有限公司100%股权作价9.0825亿元出资，其中8.4426亿元计入目标公司注册资本，0.6399亿元计入资本公积；其余本轮投资方将合计以现金12.94亿元出资，其中12.0283亿元计入注册资本，0.9117亿元计入资本公积。

增资完成后，目标公司注册资本将由12亿元增至32.4708431837亿元，晶合集成直接持股比例由约16.6667%提升至约32.1599%。公司在目标公司董事会席位不足半数，目标公司仍不会并表。

定价方面，目标公司新注册资本认购价确定为每1元注册资本1.0758元，对应独立评估师联合中和以收益法出具的全部股东权益评估值12.91亿元；合肥晶为100%股权评估值为9.0825亿元。

本次交易同时涉及公司增持及资产注入，按香港《上市规则》第14.24条计算，收购及出售事项各项百分比率均低于5%，不构成须予公布交易；因合肥国投及目标公司为关联人士，交易亦构成关连交易，但适用的百分比率低于5%，仅需履行申报及公告义务，无需独立股东批准。

公司董事会已批准该增资协议，相关事项仍需提交股东大会审议。
