ASMPT awards HK$10.09 million in incentive shares to CEO Bassel Haddad

ASMPT Limited has granted 59,500 ordinary shares, representing approximately 0.01% of its 419.41 million shares in issue, to Director and Group CEO Mr Bassel Haddad under the company’s 2020 Employee Share Incentive Scheme.

The share award, approved on 12 August 2026 by the Remuneration Committee and all independent non-executive directors, is split into: • 17,700 performance-share plan (PSP) shares linked to future results. • 41,800 retention-share plan (RSP) shares aimed at talent retention.

No payment is required from the CEO; the shares are granted at nil consideration. Based on the closing price of HK$169.50 on the award date, the package is valued at HK$10.09 million.

Vesting timetable • PSP shares: 2 May 2029, contingent on ASMPT’s revenue growth versus peers and EBIT margin over FY 2026-2028. Failure to meet threshold performance will void vesting. • RSP shares: 50% on 3 May 2027, 25% on 3 May 2028, and the remaining 25% on 2 May 2029. The first RSP tranche vests in fewer than 12 months owing to administrative considerations permitted under the pre-existing scheme.

Safeguards and limits • A claw-back clause allows ASMPT to reclaim any shares that vest early if post-employment obligations are breached. • As Mr Haddad is a connected person, an independent trustee will acquire the shares on-market and hold them in trust until vesting. • Following this grant, 23.98 million shares remain available for future allocation under the scheme, which is capped at 10% of outstanding share capital.

Regulatory context The incentive plan was adopted on 24 March 2020, predating the revised Chapter 17 of the Hong Kong Listing Rules. ASMPT will continue to comply with the updated requirements during the allotted transition period.
