World Super Holdings Limited (the “Company,” stock code: 8612) has unveiled plans for a three-for-one rights issue at a subscription price of HK$0.1 per rights share. This fundraising could amount to a maximum of approximately HK$31.10 million before expenses, with estimated net proceeds of around HK$29.08 million.

According to the announcement, the proceeds will be allocated primarily to repay loans and trade payables (approximately HK$17 million), fund forthcoming projects and the purchase of equipment (around HK$9.17 million), and support general working capital (about HK$2.91 million). The rights issue is set to proceed on a non-underwritten basis, subject to approval at an Extraordinary General Meeting (EGM) currently scheduled for 14 November 2025.

Under the proposal, each qualifying shareholder will be offered three rights shares for every existing share held on the record date of 26 November 2025. Any remaining unsubscribed shares may be placed out, with any premium beyond HK$0.1 per rights share (net of relevant fees) distributed to shareholders who did not take up their full entitlements, provided the premium per shareholder is at least HK$100. There will be no excess application arrangement.

The Company emphasizes that the rights issue hinges on meeting several conditions, including the Stock Exchange granting the listing of, and permission to deal in, all rights shares. The final timetable indicates that fully paid rights shares are expected to commence trading on or around 12 January 2026, subject to fulfillment of all conditions. Shareholders are advised that dealings in the Company’s shares during the offer period carry the risk that the rights issue may not ultimately proceed.
