CiDi Inc. (Stock Code: 3881) Announces Share Subdivision and Change in Board Lot Size

CiDi Inc. (Stock Code: 3881) proposes to subdivide each issued share from a nominal value of RMB1.00 to ten shares at RMB0.1 each. Upon completing this subdivision, the registered capital of RMB43,789,310 will remain unchanged, but the total number of shares will increase from 43,789,310 to 437,893,100.

All subdivided shares will rank pari passu with existing shares. Subject to approvals, the share subdivision will become effective on February 20, 2026. The company intends to update its Articles of Association to reflect the changes in share capital.

Once the subdivision is effective, the board lot size for the H shares listed on the Stock Exchange will change from 10 H shares (prior to the subdivision) to 100 subdivided H shares. Based on a closing price of HK$242 per H share, the theoretical market value of one lot (after subdivision and lot size change) will be around HK$2,420.

Shareholders may exchange old share certificates for new ones free of charge from February 20, 2026, until March 30, 2026. Before 12:00 noon on February 16, 2026, existing share certificates remain valid for delivery, trading, and settlement, though they will not be accepted after that time.

The company’s expected timetable indicates that the extraordinary general meeting related to these proposals will be held on February 13, 2026. If the conditions are met, the share subdivision and board lot change become effective shortly thereafter, with the final deadline for free certificate exchange on March 30, 2026.
