Sun Pharmaceutical Industries has agreed to purchase all outstanding shares of Organon for $14 per share in an all-cash transaction, valuing the enterprise at $11.75 billion. The boards of directors of both Sun Pharma and Organon have approved the deal. Sun Pharma intends to fund the acquisition using a combination of its available liquid resources and committed financing from banks. The transaction is anticipated to close in early 2027, pending the satisfaction of customary closing conditions, including regulatory approvals and a shareholder vote from Organon.
