万励达国际有限公司（08482）8月20日发布股东特别大会通告。公司拟就2026年7月16日与主席、执行董事兼行政总裁吕克宜先生签订的认购协议，向其配发及发行44,921,880股新股份，认购价为每股0.104港元。该等股份须获香港联交所GEM上市委员会批准后方可上市及买卖。
为审议上述事项，公司将于2026年9月18日11时在香港干诺道中200号信德中心西座33楼3302室召开股东特别大会。股东名册将于2026年9月15日至9月18日（包括首尾两日）暂停办理股份过户登记，最后过户时间为2026年9月14日16时30分。
股东可于大会上就普通决议案投票，内容包括批准认购协议及授权董事会按协议条款配发及发行认购股份，并授权董事处理相关事宜。受委代表投票有效文件须在会议或任何续会指定时间48小时前送达或按指定方式提交。
