Wharf Holdings will convene its 2026 annual general meeting on 14 May 2026 at 11:15 a.m. in the Centenary Room, Marco Polo Hongkong Hotel, Kowloon.
Key matters to be tabled include:
• FY2025 Financial Statements: Shareholders will receive and adopt the audited accounts and accompanying directors’ and auditor’s reports for the year ended 31 December 2025.
• Board Composition: Executive directors Paul Y. C. Tsui and Kevin K. P. Chan, together with independent non-executive directors Elizabeth Law and Nancy S. L. Tse, are standing for re-election. Independent non-executive director Richard Y. S. Tang will retire and will not seek re-election.
• Auditor Re-appointment: KPMG is nominated to continue as external auditor, with directors authorised to fix its remuneration.
• Share Buy-back Mandate: The board seeks authority to repurchase up to 10% of the company’s issued share capital on the Stock Exchange during the mandate period, defined as the interval until the next AGM or its statutory deadline, whichever comes first.
• General Issuance Mandate: Directors are requesting approval to allot and issue new shares, or transfer treasury shares, equal to up to 20% of issued share capital. This limit can be increased by a number of shares equivalent to those repurchased under the buy-back mandate, subject to a maximum additional 10%.
Administrative details include a register-of-members closure from 11 May 2026 to 14 May 2026 (both days inclusive) for AGM eligibility, and a proxy submission deadline of 11:15 a.m. on 12 May 2026.
All resolutions will be voted on by poll in accordance with Hong Kong Listing Rules.
