CHINA XLX FERTILISER LTD. (1866) announced that one of its Joint Company Secretaries, Authorised Representatives, and Process Agents in Hong Kong, Mr. Man Yun Wah, has resigned effective 13 November 2025. According to the company, there is no disagreement between Mr. Man and the board of directors, and there are no matters requiring further attention by shareholders or the exchange.
Following Mr. Man’s resignation, the board appointed Ms. Kam Mei Ha Wendy as Joint Company Secretary, Authorised Representative, and Process Agent from 13 November 2025. She has extensive experience of over 30 years in corporate secretarial and governance services and is a Chartered Secretary as well as a Fellow of The Hong Kong Chartered Governance Institute and The Chartered Governance Institute in the United Kingdom. The other current Joint Company Secretary, Ms. Cheok Hui Yee, will continue to serve in her role.
With Mr. Man’s departure, the previously granted waiver under Rules 3.28 and 8.17 of the Hong Kong Listing Rules, in place since 16 June 2025 to accommodate the appointment of Ms. Cheok as Joint Company Secretary, requires adjustment. The company has applied for a new waiver to cover the remaining period of that arrangement and will make further announcements when available.
The board expressed its gratitude to Mr. Man for his contributions and extended a welcome to Ms. Kam on her appointment.
