中国港能智慧能源集团有限公司（股票名称：中国港能，股票代码：00931）于近日公告，将于2026年8月21日举行股东周年大会，拟寻求股东批准授予一般授权，以回购不超过公司于大会通过相关决议案当日已发行股本总数10%的股份。根据公告披露，若在股东大会之前没有进一步发行或回购股份，回购规模上限预计可达约8.16亿股，基于最后实际可行日（2026年7月20日）公司已发行的约81.58亿股股份。
本次股份回购所需资金将根据开曼群岛适用法律、公司组织章程及其他相关监管规定，从公司可用于回购的合法资金中拨付。公司方面表示，回购安排有助于提升每股资产净值及每股盈利水平，符合公司及全体股东的整体最佳利益。
资料显示，中国港能过去12个月在香港联交所的股价最高达每股0.72港元（2025年10月），最低为0.246港元（2025年7月至8月）。公司董事会呼吁股东审慎决策并出席计划于2026年8月21日下午5时在香港中环花园道33号圣约翰大厦8楼举行的股东周年大会。公司拟于2026年8月17日至8月21日（包括首尾两日）暂停办理股份过户，以确定股东大会的出席及表决资格。
