Concord New Energy Group sells three wind power subsidiaries for 103.6 million Singapore dollars

Concord New Energy Group Limited (SEG) announced after trading hours on Feb, 9 2026 that several wholly-owned units have signed three separate agreements to dispose of their entire interests in three wind power project companies to Zhaoying Nenghe for a total consideration of approximately 103.6 million Singapore dollars.

The assets being sold comprise: • Target Group A, which operates a 300 MW wind farm with a 30 MW/60 MWh energy-storage facility in Qujing, Yunnan; • Target Company B, which runs a 50 MW wind farm in Bengbu, Anhui; and • Target Group C, which manages a 51 MW wind project in Bozhou, Anhui.

Payment terms are staged. For Target Group A, about 59.5 million Singapore dollars will be paid in three instalments completing by Dec, 31 2026. For Target Company B, roughly 30.0 million Singapore dollars will be paid in two instalments completing by May, 15 2026. For Target Group C, about 14.1 million Singapore dollars will be paid in three instalments completing by Dec, 31 2026.

Upon completion, the three project companies will cease to be subsidiaries of Concord New Energy. The group expects to record an unaudited disposal gain of about 15.5 million Singapore dollars. Proceeds will be used to fund day-to-day operations, including purchases of wind and photovoltaic equipment.

The disposals meet the threshold of a discloseable transaction under Chapter 14 of the Hong Kong Listing Rules, as the highest applicable percentage ratio exceeds 5% but is below 25%.
