昌利(控股)有限公司（GEM上市）公告称，其全资附属公司昌利财务有限公司于2026年2月11日与滙敏有限公司就一笔800万港元贷款订立协议。该贷款期限为自提款之日起12个月，按年息率10厘计算，并按月支付利息。为担保上述款项，借款人提供了位于香港的两处商业物业作抵押。
根据公告，滙敏有限公司的主营业务为投资控股，其最终实益拥有人为金滙教育有限公司。董事会确认，借款人及其最终实益拥有人均为独立第三方。本次贷款协议系昌利(控股)有限公司在日常及惯常业务过程中授出，预计将为集团带来利息收入。
公告指出，由于相关百分比率超过5%但低于25%，该协议构成GEM上市规则第19章项下的须予披露交易，并需遵守相应的申报及公布规定。
