亦辰集团(08365)于2026年3月4日披露，与Esperanza Fintech Holdings Limited就成立合资公司JV BVI Co签订协议。根据协议，亦辰集团持有JV BVI Co 51%股权，Esperanza Fintech持有49%。
合资集团的资本承担约为0.05亿元，亦辰集团将承担其中0.0255亿元，Esperanza Fintech承担0.0245亿元。后续如需额外资金投入，须由各方协商决定。
基于3月3日每股2.54港元的收市价，发行的代价股份市值约为0.9906亿元，JV BVI Co 51%股权的总代价约为1.0161亿元。亦辰集团承担的资金将来自集团内部资源。
此次合资协议尚需满足或豁免相关先决条件方可生效，合资事项存在不一定进行的可能性。交易各方后续将根据业务发展和监管要求推进相关工作。
