NIRAKU GC HOLDINGS, INC. (Stock Code: 1245) announced that on 20 November 2025, a non-wholly-owned subsidiary of the group (the Seller) entered into a Trust Beneficial Interest Assignment Agreement with an independent third party (the Purchaser) for the transfer of the Trust Beneficial Interest in “KAI Aso (界 阿蘇).” The total transfer price is JPY955.7 million (approximately HKD50.6 million), due on the expected effective date of assignment, 2 December 2025.
According to the announcement, the trust property comprises five lots of land in Kokonoe-machi, Kusu-gun, Japan, totaling 26,754.7 sq. m., and a hot spring ryokan inn featuring a two-storey building and 12 annexed single-storey buildings with a total floor area of approximately 1,554.5 sq. m. The facility is currently leased to a third-party operator under the “KAI Aso (界 阿蘇)” brand. An independent valuer assessed the market value of the property at JPY1,370 million (approximately HKD72.6 million) as of 1 March 2025.
NIRAKU GC stated that the disposal, classified as a discloseable transaction under Chapter 14 of the Listing Rules, will yield an estimated unaudited gain of approximately JPY107.0 million (about HKD5.7 million), after deducting acquisition costs and related expenses. The group intends to use the proceeds as general working capital or to fund future investment opportunities. The transaction does not require shareholders’ approval under the Listing Rules and will take effect on 2 December 2025.
