Huscoke Holdings Receives Resumption Guidance; 18-Month Deadline Set to Avert Delisting

Huscoke Holdings Limited has disclosed that it received an official resumption guidance letter from The Stock Exchange of Hong Kong Limited on 31 March 2026, following the suspension of its shares on 30 March 2026 for non-compliance with Listing Rule 13.24.

The Stock Exchange requires Huscoke Holdings to:

1. Demonstrate full compliance with Listing Rule 13.24, which mandates sufficient operations or assets to warrant a continued listing. 2. Disclose all material information necessary for shareholders and investors to accurately assess the Group’s position.

Under Rule 6.01A(1), the exchange has imposed an 18-month remedial period expiring on 29 September 2027. If the company fails to resolve the issues, meet the resumption conditions, and achieve full Rule compliance by that date, the Listing Committee may proceed to cancel its listing. The exchange also reserves the right to impose a shorter remedial period or initiate immediate delisting should circumstances warrant.

During the suspension, Huscoke Holdings must:

• Keep the trading halt to the shortest feasible duration (Rule 6.05). • Continue fulfilling all Listing Rule obligations, including timely disclosure of notifiable or connected transactions and periodic financial reporting (Rules 13.46–13.49). • Announce any inside information pursuant to Part XIVA of the Securities and Futures Ordinance. • Publish quarterly updates under Rule 13.24A detailing business operations, the resumption plan, implementation progress, any changes to the plan, and explanations for delays. The first such update is due no later than 29 June 2026 and every three months thereafter until trading resumes or the listing is cancelled.

Trading in Huscoke Holdings’ shares will remain suspended until further notice. The company has reiterated its commitment to issue additional announcements to keep shareholders and potential investors informed of its resumption progress and any material developments.
