Morgan Stanley Bank Exits Derivative Positions Linked to ENN Natural Gas During Privatisation Process

On 5 June 2026, the Executive under the Hong Kong Code on Takeovers and Mergers disclosed dealings related to the proposed privatisation of ENN Natural Gas Co., Ltd. by way of scheme of arrangement.

Morgan Stanley Bank, N.A.—classified as a Class (5) associate connected with the offeror—reported three unsolicited client-facilitation sales of derivative products referencing ENN Natural Gas A shares on 4 June 2026.

• Volume and pricing: the bank sold derivatives referencing a total of 442 A shares at reference prices ranging from RMB 19.25 to RMB 19.55.

• Cash consideration: aggregate proceeds reached RMB 8,547.11.

• Maturity profile: the contracts mature on 26 February 2027, 31 August 2027 and 9 March 2028, respectively.

Following the transactions, Morgan Stanley Bank holds no remaining balance in the disclosed derivatives. The trades were executed for the bank’s own account; Morgan Stanley Bank, N.A. is ultimately owned by Morgan Stanley.
