Hong Kong Finance Group Limited (1273) Announces Transfer of Shares and Changes in Shareholding Structure

Hong Kong Finance Group Limited (1273) reported that a total of 90,000,000 shares, equating to about 21.69% of its issued share capital, were transferred on 9 February 2026 from Tin Ching Holdings Limited to Po Shun Holdings Limited, a British Virgin Islands entity wholly owned by Executive Director Mr. Chan Koung Nam. The transfer was made at nominal consideration for wealth arrangement purposes.

Following this transaction, an additional 5,000 shares in Tin Ching Holdings, constituting 50% of its issued share capital, were transferred from Mr. Chan Koung Nam to Executive Director Mr. Chan Kwong Yin William. After the transfer, Tin Ching Holdings (now wholly owned by Mr. William Chan) holds approximately 40.96% of the company's issued share capital, while Po Shun (wholly owned by Mr. Koung Nam Chan) holds around 21.69%. As a result, Po Shun becomes a substantial shareholder, and Mr. Koung Nam Chan ceases to be a controlling shareholder but remains a substantial shareholder. Tin Ching Holdings, along with Mr. William Chan, continues to be counted among the controlling shareholders of the company.
