鸿兴印刷集团有限公司（香港上市，股份代号：00450）于最新公告中宣布，拟在股东周年大会上寻求授予董事一般授权，允许公司于适用期间内回购不超过公司于有关决议案通过当日已发行股份总数10%的股份。公告显示，截至2026年4月16日，公司已发行股份总数约为9.07864974亿股，如获批准，此次回购上限约为9078.65万股。
公告指出，若本次股份购回计划获股东周年大会通过，公司将根据《香港公司法》及香港联合交易所有限公司证券上市规则等法规要求，以其可依法支配资金作为购回款项来源。董事会认为，此举有助于提升公司资产净值及每股盈利，对公司及股东整体利益具有正面影响。
根据公告披露的近一年股价信息，在2025年4月至2026年4月期间，鸿兴印刷集团最高成交价为每股1.08港元，最低成交价为每股0.80港元。董事会明确表示，仅会在认为对公司及股东最具利益的情况下实施回购计划。
上述购回授权及相关决议将于2026年5月27日下午3时30分在香港湾仔举行的股东周年大会上进行表决。为确定股东身份，公司将自2026年5月21日至5月27日暂停办理股份过户手续。董事会呼吁合资格股东按时出席并投票。公告最后重申，所有议案均符合公司及股东的最佳利益。另据介绍，公司核数师亦将在本次会议上进行续聘事宜的审议。
