Country Garden (02007) Releases January 2026 Monthly Return, Issued Shares Rise to 39.37 Billion

On 5 February 2026, Country Garden Holdings Company Limited (stock code: 02007) released its monthly return for equity securities as of 31 January 2026. The authorized share capital remained unchanged at HKD10,000,000,000, while the total number of issued ordinary shares increased from approximately 28.92 billion to about 39.37 billion, representing an overall addition of around 10.45 billion shares during the month.

The increase in issued shares chiefly stemmed from two factors: the mandatory convertibles, which contributed around 7.80 billion new shares, and the issuance of approximately 2.65 billion new shares under the Shareholder Loans Equitisation Agreement with Concrete Win. No new shares were issued from outstanding share option schemes, and no treasury shares were involved.

The mandatory convertible bonds labeled MCB (A) and MCB (B) accounted for the primary conversion activity, while MCB (C) saw no new shares issued during the month. The subscription/conversion prices related to these bonds ranged from HKD1.1 to HKD10, as disclosed.

Country Garden confirmed that it complied with the applicable public float requirement. The company also noted that the final number of capitalized shares under the Shareholder Loans Equitisation Agreement remains subject to the completion of a proposed disposal transaction. No other material changes or share movements were reported in this monthly return.
