Daido Group completes HK$10.00 million share placement; new investor takes 16.50 % stake

Daido Group Limited announced the completion of its share subscription on 10 August 2026, having issued 10.00 million new shares under the existing general mandate at HK$1.00 per share. The transaction raises approximately HK$10.00 million and expands the company’s issued share capital from 50.62 million to 60.62 million shares, a 19.76 % increase.

Post-placement, the new subscriber holds 10.00 million shares, equating to 16.50 % of the enlarged share base. The previous largest shareholder, China Agricultural Science International Holding Co., Limited, now owns 5.80 million shares, or 9.57 %.

Should all outstanding convertible bonds be fully converted, Daido’s total issued shares would rise to 154.35 million. In that scenario, convertible-bond holders would collectively control 60.73 % of the company, while the subscriber’s interest would dilute to 6.48 %, and China Agricultural Science International’s stake would decline to 3.76 %. Any bond conversion remains subject to Hong Kong Listing Rules and Takeovers Code requirements, including the maintenance of minimum public float and avoidance of mandatory offer triggers.

The board confirms that all conditions precedent under the subscription agreement have been satisfied, and no adjustments to the convertible bond conversion price are required following this issuance.
