ENN Energy Holdings: Privatisation by Way of Scheme of Arrangement – Disclosure of Dealings by UBS AG

On 16 February 2026, a public disclosure was made under the Hong Kong Code on Takeovers and Mergers concerning the proposed privatisation of ENN Energy Holdings by way of a scheme of arrangement. The Executive received details regarding securities dealings in ENN Energy Holdings by UBS AG, an exempt principal trader connected with the offeree.

UBS AG reported two purchases on 13 February 2026. The first involved 30,400 ordinary shares, with a total payment of US$2.07 million at a price of US$67.95. The second involved 10,500 ordinary shares, totaling US$0.72 million at prices ranging between US$68.15 and US$68.20. According to the announcement, these trades were conducted for UBS AG’s own account, arising from client-driven orders and subsequent flattening of proprietary positions. UBS AG is ultimately owned by UBS Group AG.
