Fortune Sun (China) Holdings Limited (the "Company") (Stock Code: 00352) announced that with effect from November 28, 2025, an executive Director has resigned and a new executive Director has been appointed. According to the official filing, Mr. Han Lin resigned from his role as an executive Director and ceased to be a member of the Executive Committee. He has confirmed there is no disagreement with the Board of Directors and no other matter that needs to be brought to the attention of The Stock Exchange of Hong Kong Limited or the Company's shareholders.

The Company also announced the appointment of Ms. Wang Jia, aged 55, as an executive Director and member of the Executive Committee, effective November 28, 2025. Ms. Wang has been with the Group since April 1997 and is a director of Shanghai Fu Yang Property Consultant Co., Ltd. She currently holds 20,000 shares and 300,000 share options, exercisable at HK$1.130 per share until January 18, 2027. Under her existing employment contract, Ms. Wang is entitled to a monthly salary of RMB8,000 and will not receive additional remuneration in respect of her director appointment.

Upon these changes, the composition of the Executive Committee was also updated accordingly. The Company expressed gratitude to Mr. Han for his past contributions and extended a welcome to Ms. Wang in her new role. Trading in the shares of the Company on the Stock Exchange remains suspended since September 9, 2025, and will only resume once the relevant resumption guidance is fulfilled.
