民生国际有限公司（以下简称“民生国际”）于2026年5月21日举行股东特别大会，会上所有提交的决议案均获独立股东以投票表决方式全票通过。
根据公告，此次股东特别大会审议并通过两项关键议案。其中，特别决议案“批准股本削减及股份拆细”获15,680,360股赞成票，赞成比例100%；普通决议案“批准认购协议及发行可换股债券相关交易”同样获得15,680,360股赞成票，赞成比例100%。卓佳证券登记有限公司担任本次大会的监票人。
公告显示，由于资本重组的所有条件已达成，民生国际董事会宣布，股本重组将于2026年5月26日（星期二）正式生效，新股份同日上午九时起在香港联合交易所开始买卖。
据悉，民生国际主席胡兴荣因在认购协议中拥有重大利益，已就普通决议案放弃投票。其持有公司477,327,672股股份，占已发行股份总数的73.75%。因此，有权就普通决议案投票的股份总数为169,870,923股，占已发行股份总数的26.25%。全体董事均出席了本次股东特别大会。
