这一潜在税务责任源于企业替代最低税（CAMT），即对大型企业财务报表收入征收的15%最低税，该税种由总统拜登于2022年签署成为法律。在周二的通知发布之前，CAMT规则原本会将未实现数字资产收益纳入收入，但排除股票的未实现收益。
Strategy（前身为MicroStrategy）已部分转型为押注比特币的公司。根据证券申报文件，该公司持有价值730亿美元的加密货币，其中约260亿美元为未实现收益。该公司一直在就潜在税务责任向投资者发出警告，并要求财政部予以阻止。
财政部指引还软化了一些针对航运公司、受监管公用事业和保险公司的拟议CAMT规则。各公司一直抱怨CAMT的复杂性和潜在意外后果，特朗普政府对这些担忧比其民主党前任更加重视。
