Bank of Nanjing Announces Full Redemption of "Ningyin Preferred 2" Scheduled for September 7

On August 18, financial news reported that Bank Of Nanjing Co.,Ltd. issued an announcement today regarding its plan to redeem preferred shares. According to the announcement, the bank conducted a non-public issuance of 0.05 billion preferred shares on September 5, 2016 (referred to as "these preferred shares"), with the preferred shares abbreviated as "Ningyin Preferred 2" and a total issuance scale of RMB 5 billion.

On August 18, 2026, the 21st meeting of the 10th Board of Directors of Bank Of Nanjing Co.,Ltd. reviewed and approved the "Proposal on the Exercise of Preferred Share Redemption Rights by Bank Of Nanjing Co.,Ltd." The bank has also received a reply letter from the Jiangsu Regulatory Bureau of the National Financial Regulatory Administration, indicating no objection to the redemption of these preferred shares.

Bank Of Nanjing Co.,Ltd. stated that it plans to fully redeem all of these preferred shares on September 7, 2026 (postponed from September 5, which falls on a Saturday, to September 7), at a redemption price equal to the par value of the preferred shares plus the dividends that have been declared but not yet paid for the current period. Additionally, the bank has authorized the Chairman, President, and Secretary to the Board of Directors, either individually or jointly, to handle all matters related to the redemption of these preferred shares in full accordance with applicable laws and regulatory requirements.
