昆仑能源有限公司（股票代码：00135）日前在股东周年大会通告中披露，董事会已获一般授权，可视市况购回最多不超过公司已发行股本（不含库存股份）10%的股份。根据公告，昆仑能源目前已发行约86.59亿股普通股，授权上限约为8.66亿股。
昆仑能源表示，购回所需资金将来自公司内部资源及/或现有银行融资，相关程序将遵守百慕达法律及香港联合交易所有限公司证券上市规则。董事会认为，在资本结构及股东回报等层面，此举符合公司及股东的整体最佳利益，只有在被视为对公司有利的情况下才会启动执行。
公告显示，公司过去十二个月内，股份交易价格曾在6.86港元至8.67港元之间波动。董事会强调，购回授权的实际执行需考虑营运资金及负债水平，不会导致流通股比例低于25%。如该授权方案在股东周年大会上正式通过，公司预计于2026年5月28日举行相关决议，并于2026年5月22日至5月28日暂停办理股份过户手续。
