Sling Group Holdings Limited will convene its 2026 Annual General Meeting (AGM) on 9 June 2026 at 2:30 p.m. (Unit 1, 21/F, Yen Sheng Centre, Kwun Tong, Hong Kong). Key resolutions to be put before shareholders include:
1. 2025 Financial Statements • Shareholders will vote on the adoption of the audited financial statements and the reports of the directors and independent auditor for the year ended 31 December 2025.
2. 4. General Mandate to Issue Shares • Directors seek authority to allot and issue new shares up to 20% of the Company’s issued share capital as at the date of the AGM. • The mandate includes the power to grant options, warrants or other convertible instruments. • Authority extends until the earlier of the next AGM, statutory deadline for holding the next AGM, or shareholder revocation.
5. Share Repurchase Mandate • The Board requests approval to repurchase up to 10% of issued share capital on the Stock Exchange of Hong Kong or other recognised exchanges during the same mandate period.
6. Extension of Issue Mandate • Conditional on the passage of the above two mandates, the share issue mandate may be enlarged by the number of shares actually repurchased, effectively allowing an additional 10% issuance.
7. Special Resolution – Constitutional Amendments • Shareholders will vote on adopting a second amended and restated Memorandum and Articles of Association, incorporating the proposed changes detailed in the circular dated 17 April 2026. • Any director is authorised to complete necessary filings in Hong Kong, while the registered office provider will execute filings in the Cayman Islands.
Administrative Details • Proxy forms must reach Tricor Investor Services Limited by 2:30 p.m. on 7 June 2026. • The share register will be closed from 4 June 2026 to 9 June 2026, inclusive, for voting entitlement purposes.
