Greenheart Group Limited (GREENHEART GP, stock code 00094) has announced a series of boardroom changes effective 1 July 2026. Non-executive directors Mr. Kenneth Lau and Mr. Lie Ken Jie Remy Anthony Ket Heng have resigned and will also vacate their positions on the Remuneration Committee and Audit Committee, respectively, to focus on personal commitments. Both confirmed there is no disagreement with the Board and no matters requiring shareholder attention.

In conjunction, the Board has appointed Mr. Lee Chi Hin, Jacob as a non-executive director and member of both the Audit Committee and the Remuneration Committee, also effective 1 July 2026. Mr. Lee, aged 43, brings over two decades of experience in corporate finance and international capital markets, having previously held investment banking roles at HSBC and Deutsche Bank. He currently serves as a non-executive director of New Times Corporation Limited and Integrated Waste Solutions Group Holdings Limited, as well as Giordano International Limited. Mr. Lee is Senior Vice President at Chow Tai Fook Enterprises Limited and holds an MSc in Accounting and Finance from the London School of Economics and a BBA from the University of Michigan. He is a Chartered Financial Analyst charterholder.

Under a three-year service agreement, Mr. Lee will receive an annual director’s fee of HK$0.36 million, subject to customary rotation and re-election provisions stipulated in the Company’s Bye-laws.

Following these changes, Greenheart Group’s Board comprises one executive director (Mr. Ding Wai Chuen), four non-executive directors, and three independent non-executive directors. The company expressed gratitude to the departing directors for their contributions and extended a formal welcome to Mr. Lee.
