Beisen Holding Limited(9669)于2026年2月11日宣布完成一项涉及根据一般授权发行代价股份的交易，并同步注销部分库存股份。此前，该公司收购酷渲（北京）科技有限公司后，将其财务业绩纳入合并报表。本次交易的所有先决条件至今已全部达成，包括目标公司在2025年10月取得ICP许可证、换股卖方在2026年1月获得境外直接投资批准等必要监管批准。
公司向换股卖方配发并发行34,761,638股代价股份，占紧随交易完成后公司已发行总股本（不含库存股份）约4.8%。上述代价股份自公告日期起将受到六个月的禁售期限制。为抵销新增发行所带来的摊薄影响，公司决定在完成配发及发行后注销合计32,000,000股库存股份。完成本次发行后，Beisen Holding Limited的股权总数增至730,142,731股。整体股权结构中，董事、最高行政人员及主要股东合计持有约22.7%，换股卖方约占4.8%，受限制股份单位计划受托人约占0.7%，其余由其他公众股东持有。
