STARPLUS LEGEND (06683) Shareholder Transfers Shares from Guotai Junan (Hong Kong) to Citibank with Transfer Value of HK$569 Million

According to the latest data from the Hong Kong Stock Exchange, on November 17, a shareholder of STARPLUS LEGEND (06683) transferred shares from Guotai Junan (Hong Kong) to Citibank, with a transfer value of HK$569 million, accounting for 9.11% of the company's shares.

STARPLUS LEGEND announced that on November 13, 2025, the company, the seller, and the placing agent entered into a placing and subscription agreement. Under the agreement: (a) The seller agreed to appoint the placing agent, who would use reasonable efforts to facilitate the purchase of up to 75 million shares (including top-up shares and Magic Express shares) by buyers at the placing price of HK$7.20 per share. (b) The top-up seller conditionally agreed to subscribe, and the company conditionally agreed to allot and issue up to 54.498 million shares to the top-up seller at the subscription price (equal to the placing price).

Assuming full placement, the number of shares to be placed would represent approximately 8.36% of the total issued shares as of the announcement date and about 7.88% of the enlarged issued share capital post-subscription (assuming no changes in issued shares other than the issuance of subscription shares between the announcement date and completion).

The placing price of HK$7.20 per share represents a discount of approximately 19.91% compared to the closing price of HK$8.99 per share on November 12.
