中国白银集团有限公司(股票代码：815)于2025年11月27日发布公告，董事会建议通过增加法定股本及修订现有组织章程大纲及细则，以满足后续认购及未来业务发展需求。
根据公告，公司拟将法定股本由3,000,000,000股增至5,000,000,000股，即由30,000,000港元提升至50,000,000港元，增设2,000,000,000股股份。此举旨在应对剩余认购事项，并为未来可能的集资机会提供灵活性。公告显示，截至目前公司已发行2,954,337,559股股份，尚有45,662,441股处于法定但未发行状态。
公司董事会同时提议修订现有组织章程大纲及细则，并正式采纳一套新的组织章程大纲及细则。修订内容包括就增加法定股本更新公司法定股本条文，并配合扩大无纸化上市制度和库存股份制度等最新监管规定及相关上市规则修订，以及若干轻微调整。
