Bulletin Express
Jul 14

Wang On Group Limited completed an additional on-market repurchase of 60.00 million ordinary shares on 14 July 2026 at HK$0.022 per share, for a total consideration of HK$1.32 million. The transaction follows a similar 60.00 million-share repurchase on 13 July, bringing repurchases pending cancellation to 120.00 million shares, equivalent to 0.85 % of the company’s issued share base on the mandate date.

Issued Share Capital • Opening and closing balance (13-14 July 2026): 14.17 billion shares. • The repurchased shares have not yet been cancelled; consequently, the issued share count remains unchanged.

Repurchase Mandate Utilisation • Shareholders authorised management on 19 August 2025 to repurchase up to 1.42 billion shares. • Cumulative repurchases under this mandate now stand at 120.00 million shares, utilising 8.51 % of the approved limit. • Approximately 1.30 billion shares, or 91.49 % of the mandate, remain available for future buybacks. • Pursuant to Hong Kong Listing Rules, Wang On Group is restricted from issuing new shares or disposing of treasury shares until 13 August 2026, 30 days after the latest repurchase.

Pricing and Market Context • Both repurchase tranches were executed at a uniform price of HK$0.022 per share. • The buybacks reflect the company’s ongoing capital management strategy, though the announcement does not disclose specific objectives beyond utilising the existing mandate.

Corporate Governance The company confirmed that all repurchase activities complied with the Hong Kong Stock Exchange’s Main Board Rules and that there have been no material changes to the explanatory statement dated 19 August 2025 relating to the repurchase mandate.

With the current cancellation pool at 120.00 million shares, any future cancellation will reduce the outstanding share count and marginally enhance earnings per share, subject to the completion of the cancellation process.
