Congyu Intelligent Agricultural Completes HK$67.30 Million Share Placement, Expands Share Base by 27.99%

Congyu Intelligent Agricultural Holdings Limited announced the completion of its specific-mandate share placement on 24 June 2026. A total of 152.92 million new shares were issued at HK$0.45 per share, enlarging the company’s issued share capital to 699.05 million shares, up from 546.13 million shares before the transaction—a dilution of 27.99%.

The placement raised gross proceeds of HK$68.81 million and net proceeds of approximately HK$67.30 million after deducting related expenses. Management plans to allocate around HK$60.00 million (89.10% of net proceeds) to repay borrowings, with the remaining HK$7.30 million (10.90%) earmarked for general working capital.

Shareholding Impact: • Executive Director and Chairman Lin Yuhao’s interest decreased from 48.70% to 38.10%, reflecting unchanged absolute ownership of 266.22 million shares amid a larger share base. • Newly introduced placees collectively hold 152.92 million shares, representing 21.90% of enlarged equity. • Public shareholders now account for 40.00%, down from 51.30% prior to completion.

The placement involved at least six independent investors, none of whom became substantial shareholders under Hong Kong Listing Rules.
