健康160（02656.HK）8月14日晚间公告，因其他个人事务，孙萌女士已辞任公司非执行董事及董事会下属提名委员会成员，辞任自2026年8月14日起生效。孙萌女士确认其与董事会并无意见分歧，亦无其他事项需提请股东或香港联合交易所有限公司关注。
孙萌女士离任后，公司董事会及提名委员会成员将暂时全部为男性，因而不符合香港联交所证券上市规则第13.92(2)条及其附录C1《企业管治守则》守则条文B.3.5有关“至少一名女性董事”的规定。
董事会表示，将在本公告日期起三个月内物色并委任合适的女性人选，以尽快恢复对相关规定的合规。公司将在适当时候另行发布委任公告。
截至本公告日期，健康160董事会组成如下： 1. 执行董事：罗宁政先生（董事长兼首席执行官）、冀翠琳先生、黄浪先生、王立法先生； 2. 非执行董事：刘海滨先生； 3. 独立非执行董事：王欢先生、徐卫国博士、范明博士。
