南华金融控股(00619.HK)公告称，于2025年12月29日至2026年2月23日期间，通过全资附属公司在市场上连续交易方式出售合共81,880,000股有线宽频通讯(01097.HK)股份，占有线宽频通讯已发行股份总数约1.15%，总代价约6,810,000港元（不包括交易费用），平均每股售价约0.083港元。

公告显示，此次交易依据市价进行，旨在增加集团流动资金，所得款项拟作为一般营运资金。基于有线宽频通讯股份在2024年12月31日及2025年12月31日的账面值与实际出售价格之间的差额，集团预计于截至2025年12月31日止年度录得除税前收益约2,150,000港元，而截至2026年12月31日止年度或将录得除税前亏损约2,510,000港元。相关最终数字以审阅或审核结果为准。

根据公开资料，有线宽频通讯主要从事电视用户服务的订购业务及本地免费电视节目服务，并透过媒体与电讯两大分部开展业务。南华金融控股主要从事证券、商品及金银经纪及买卖、孖展融资、企业咨询及包销服务、资产及财富管理、物业投资及投资控股等业务。由于此次股份出售比例对应的适用百分比率超过5%但低于25%，因此构成上市规则第14章下的须予披露交易。
