Tianbao Energy nominates Yin Qi as Executive Director and Board Chair after Zhou Shanzhong’s resignation

Tianjin Tianbao Energy Co., Ltd. (Tianbao Energy) announced that the Board resolved on 21 July 2026 to nominate Ms. Yin Qi as Executive Director, Chairman of the Board and head of the Nomination Committee, filling the vacancies created by the earlier resignation of Mr. Zhou Shanzhong on 17 July 2026.

The proposed appointment is subject to shareholder approval at an upcoming general meeting. Upon approval, Ms. Yin’s term will run until the end of the current (fourth) Board session.

Remuneration framework: • No director’s fees will be paid. • In her capacity as a responsible officer of the Company, Ms. Yin will receive a basic annual salary of RMB 0.18 million (tax inclusive). • A performance-linked variable salary will be determined annually, supplemented by statutory insurance and provident-fund benefits, in line with the “2026 Remuneration Plan for Person-in-Charge and Senior Management.”

Background of the nominee: • Age: 46. • Current role: Secretary of the Party Branch of Tianbao Energy. • Previous roles include managerial and Party Committee positions within Tianjin Lingang Industrial Zone, Tianjin Binhai New Area Administrative Approval Bureau, Tianjin Dongli District, and Tianjin Tianbao Holdings Limited (a controlling shareholder of the Company). • Education: PhD in Management (Enterprise Management) from the Business School of Nankai University.

Regulatory disclosures: Ms. Yin holds no positions in the Company’s subsidiaries, has no relationships with directors, senior management, substantial or controlling shareholders, and owns no shares or related interests in Tianbao Energy. No other matters require disclosure under Listing Rules 13.51(2)(h)–(v).

A circular detailing the nomination and the notice of an extraordinary general meeting will be dispatched to shareholders in due course.

As of the announcement date, the Board consists of four executive directors (including the outgoing Mr. Zhou), two non-executive directors and three independent non-executive directors.
