NEW CENTURY GROUP HONG KONG LIMITED (NEW CENTURY GP) will convene its annual general meeting (AGM) on 16 September 2026 at 11:00 a.m. in SOHO 1 & 2, 6/F., ibis Hong Kong Central & Sheung Wan, Hong Kong. Shareholders on the register as of the meeting date are entitled to attend and vote; proxy forms must reach Tricor Investor Services Limited by 11:00 a.m. on 14 September 2026.

Key resolutions to be tabled:

1. Financial Statements • Receive and consider the audited consolidated financial statements and the reports of the Board and independent auditor for the year ended 31 March 2026.

2. Board Composition • Proposed re-election of four directors: executive Directors Ms Lilian Ng, Mr Yu Wai Man and Ms Huang Si Teng, together with independent non-executive Director Mr Wong Steve Cheuk Hung. • Authorisation for the Board to determine Directors’ remuneration.

3. Auditor • Re-appointment of Ernst & Young as independent auditor and authorisation for the Board to fix its remuneration.

4. Share Capital Authorities • General mandate permitting the Board to allot, issue and deal with additional shares—capped at 20% of the Company’s issued share capital (excluding treasury shares). • Separate mandate to repurchase shares representing up to 10% of issued share capital (excluding treasury shares). • Authority to extend the 20% issuance mandate by the number of shares actually repurchased.

5. Corporate Governance • Special resolution to adopt a new set of bye-laws, replacing the existing version, with authorisation for a Director or the company secretary to handle related formalities.

Approval of these resolutions will guide NEW CENTURY GP’s board structure, capital management flexibility, auditor engagement and governance framework for the forthcoming year.
