华宝香精股份有限公司(证券简称“华宝股份”，代码300741)发布了2025年限制性股票激励计划草案，拟向激励对象授予合计1,910万股限制性股票，约占公司当前总股本61,588万股的3.10%。其中，首次授予部分为1,810万股，预留部分为100万股。
此次激励计划的授予价格为每股9.62元，标的股票均来源于公司向激励对象定向发行的A股普通股。首次授予激励对象共135人，包括公司董事、高级管理人员以及核心管理、技术、业务骨干，占截至2024年12月31日公司在册员工总数的11.02%。
激励计划有效期不超过60个月，限制性股票自授予日起满12个月后分三期归属，每期归属比例分别为30%、30%、40%。公司层面业绩考核目标要求2026年至2028年主营业务收入较2025年同比增长分别达10%、25%、35%；个人层面则参考年度绩效考核结果决定实际归属比例。
限制性股票在归属前不得转让、用于担保或偿还债务，且激励计划获得股东大会审议通过后，公司将在不超过60日的期限内由董事会实际授予限制性股票，逾期未完成则将终止实施并取消未授出部分。该方案尚须获得公司股东大会审议通过后方可实施。
