思摩尔国际控股有限公司（06969）8月24日公告称，公司董事会已根据修订后的股份奖励计划，于2026年8月24日向7名集团员工授出合计2,200,000股奖励股份，授出价格为零港元。该等奖励股份须待承授人接纳后方可生效。
根据公告，此次授出的每股奖励股份对应于归属日期可领取一股公司股份。股份在授出当日的收市价为每股10.18港元。
奖励股份的归属期设定为2027年8月24日至2030年8月24日，最终可归属数量将根据各承授人的职位、任期及绩效评估结果确定。奖励股份亦受退扣机制约束，若承授人终止雇佣关系，未归属部分将失效。
公司指出，本次授出股份将使用受托人根据修订计划已购入但尚未归属的股份，相关股份在归属及结算前由受托人信托持有。
公告显示，本次授出无须股东批准，且承授人均非公司董事、最高行政人员或主要股东，也未触及上市规则所列的个人及累计授出上限。集团亦未向承授人提供任何财务援助。
授出完成后，修订股份奖励计划项下仍可用于未来授出的股份数量为303,298,186股。
公司表示，授出奖励股份旨在为员工提供持股机会，以吸引、激励并挽留技术与经验人才，支持集团未来发展。
