Haina Intelligent Equipment International Holdings Limited has issued a circular detailing resolutions to be tabled at its 2026 Annual General Meeting (AGM), scheduled for 29 May 2026 in Hong Kong.
• Capital Management Proposals – Share Issue Mandate: Directors seek authority to allot, issue or deal with up to 20% of the company’s issued share capital, equivalent to 112.80 million shares, based on the 563.98 million shares outstanding as of 17 April 2026. – Share Buy-back Mandate: A parallel mandate would allow repurchase of up to 10% of issued shares, or 56.40 million shares. – Extension Mandate: Any shares repurchased under the buy-back authority could be added to the new issue mandate, effectively enlarging potential issuance headroom. The mandates will remain in force until the earlier of the next AGM, lapse of the statutory period for holding it, or revocation by shareholders.
• Director Re-elections Executive directors Mr Su Chengya and Mr He Ziping, along with non-executive director Mr Chang Chi Hsung, will retire by rotation and offer themselves for re-election.
• Auditor Appointment Shareholders will vote on appointing Forvis Mazars CPA Limited as the company’s auditor for the coming year, replacing the incumbent.
• Shareholding Impact Controlling shareholders—Mr Hong Yiyuan, Mr Zhang Zhixiong, Mr Su Chengya, Mr He Ziping and Mr Chang Chi Hsung—collectively hold 61.92% of Haina’s shares through Prestige Name International Limited. A full exercise of the 10% repurchase mandate would raise their aggregate interest to approximately 68.79%, while maintaining the public float above the 25% threshold.
